The agreement between you and LUCKYSOFT LTD for use of the platform, website and professional services.

1. Who we are and what these terms cover

These terms govern your use of the Luckysoft platform, website and related services (the "Services") provided by LUCKYSOFT LTD, a company registered in England and Wales under number 17464155, with its registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ ("Luckysoft", "we", "us").

By creating an account, signing an order form, or paying for a plan you agree to these terms on behalf of the organisation you represent. If you do not have authority to bind that organisation, do not use the Services.

2. The Services

Luckysoft provides software for discovering, governing and monitoring AI agents, together with related professional services such as assessments and consultations. The features available to you depend on the plan set out on our Pricing page or in your order form.

We may improve or change the Services over time. We will not materially reduce the core functionality of a paid plan during a subscription term without notice and a right to cancel.

3. Accounts and acceptable use

You are responsible for the accuracy of your account information, for keeping credentials confidential, and for all activity under your account. You must not use the Services to break the law, to attack systems you are not authorised to test, to store or transmit malicious code, or to interfere with the security or integrity of the platform.

You must hold all rights needed to connect the platforms, data sources and systems you configure in Luckysoft, and you must ensure our access to them is authorised by their owners.

4. Fees, billing and taxes

Fees are as published on the Pricing page at the time of order or as stated in your order form. Subscriptions are billed in advance, monthly by card or annually by invoice. Invoices are payable within 14 days. One-off engagements are invoiced as described on the Pricing page.

All fees exclude VAT and other applicable taxes, which are added where required. Late payments may accrue interest at 4% above the Bank of England base rate and we may suspend the Services after written notice until payment is received.

5. Term, cancellation and refunds

Monthly subscriptions renew each month until cancelled. Annual subscriptions renew for a further year unless either party gives notice at least 30 days before the renewal date. Cancellation takes effect at the end of the current billing period.

Refunds are handled under our Refund and Cancellation Policy, which forms part of these terms.

6. Your data and confidentiality

You retain all rights in the data you provide to or generate in the Services ("Customer Data"). We process Customer Data only to provide and improve the Services, in accordance with our Privacy Policy and any data processing agreement in place between us.

Each party will keep the other's confidential information confidential and use it only for the purposes of these terms, for the term and for five years afterwards, except where disclosure is required by law.

7. Intellectual property

Luckysoft and its licensors own all rights in the Services, including software, documentation, detection content and policy libraries. You receive a non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription.

You may not copy, modify, reverse engineer, resell or create derivative works of the Services except as permitted by law. Reports we deliver in professional services engagements are yours to use internally once paid for.

8. Availability, support and security

We aim to keep the platform available at all times, but the Services are provided on an "as available" basis unless a service level agreement is agreed in writing. Support response times are set out on the Pricing page for each plan.

We maintain administrative, technical and physical safeguards appropriate to the sensitivity of Customer Data. Details are available on request under a non-disclosure agreement.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, and each party's total liability arising out of these terms in any 12-month period is limited to the fees paid or payable by you in that period.

10. Changes, governing law and contact

We may update these terms by publishing a new version on this page and, for material changes, emailing account holders at least 30 days in advance. Continued use after the effective date is acceptance.

These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction. Questions about these terms: hello@luckysoft.solutions.
